1. Agreement to Terms
By accessing or using the services provided by Blade C Optimum LLC ("we," "us," "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services.
2. Services
We provide cloud migration and optimization consulting services, primarily for AWS and Microsoft Azure platforms. The specific scope of work for each project will be detailed in a separate Statement of Work (SOW) or proposal, which, upon acceptance by both parties, becomes part of this Agreement.
3. Customer Responsibilities
You agree to:
Provide all necessary access credentials, information, and cooperation in a timely manner to enable the performance of the services.
Ensure you have valid licenses and the legal right to migrate any software and data.
Maintain adequate and complete backups of all data and systems prior to the commencement of any services.
Designate a qualified representative to provide necessary feedback and approvals in a timely manner.
4. Payment Terms
We operate on a post-payment model. No pre-payment is required. Upon completion of the services outlined in the SOW, we will issue an invoice. Payment is due within 7 days of the invoice date. Late payments may be subject to a late fee of 1.5% per month (18% annual percentage rate) or the maximum allowed by law.
5. Intellectual Property
We retain all rights to our pre-existing intellectual property, methodologies, and tools. You retain all rights to your data, systems, and pre-existing intellectual property. Upon full payment, we grant you a license to use any deliverables created specifically for you.
6. Disclaimer of Warranties
Our services are provided "as is" and "as available" without any warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. We do not guarantee that the services will be error-free or uninterrupted.
7. Limitation of Liability
To the fullest extent permitted by law, our total liability to you for any and all claims arising out of this agreement shall not exceed the total fees you have paid to us for the specific services giving rise to the claim. In no event shall we be liable for any indirect, punitive, incidental, special, or consequential damages.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.
9. Changes to Terms
We reserve the right to modify these terms at any time. We will notify you of changes by posting the new Terms on our website.
